Notice, Rules and Risks

  1. 1.
    Definitions
    1. 1.
      “Protocol” in relation to SolStreet Finance (Solstreet) shall include, but not be limited to -
      1. 1.
        The protocol and smart contract underlying SolStreet;
      2. 2.
        The applications underlying SolStreet;
      3. 3.
        The SolStreet website;
      4. 4.
        The services on which SolStreet is hosted;
      5. 5.
        The associated SolStreet communications, including email, Twitter, Discord and Telegram used by, or controlled by, the Project Team.
    2. 2.
      “Project Team” in relation to SolStreet shall include, but not be limited to -
      1. 1.
        SolStreet Foundation and SolStreet Inc, and any of their respective businesses and subsidiaries;
      2. 2.
        SolStreet Foundation and SolStreet Inc, and any of their respective businesses and subsidiaries;
      3. 3.
        The SolStreet Foundation, once incorporated;
      4. 4.
        The developers of SolStreet; and
      5. 5.
        The advisors to SolStreet.
    3. 3.
      “Project Documents” in relation to SolStreet shall include, but not be limited to -
      1. 1.
        The website for SolStreet;
      2. 2.
        The code repositories for Solstreet; and
      3. 3.
        The Documents section of the website for SolStreet at https://docs.solstreet.finance/solstreet/ (including the litepaper, roadmap, FAQ and tutorials), but excluding the documents in the “Legal” section.
    4. 4.
      “Manager” shall mean, in relation to any pool, a Smart Contract Wallet which has created a pool through the Protocol, until such time as that pool is dissolved.
    5. 5.
      “Participant” shall mean, in relation to any pool, a Smart Contract Wallet which has participated in a pool through the Protocol, until such time as that pool is dissolved.
    6. 6.
      “Smart Contract Wallet” shall mean each unique smart contract wallet connected to the Protocol, including but not limited to Phantom, Sollet, Coin98 and Math.
    7. 7.
      “STRT” shall mean the SolStreet STRT token, which is contemplated to be issued in future;
    8. 8.
      "Wolfies" shall mean the non-fungible token collection of 5,555 which have the likeness of animated wolves; and
    9. 9.
      "Tokens” shall mean Wolfies and STRT.
  2. 2.
    Each time that you connect your Smart Contract Wallet to the Protocol, and for so long as you remain a participant in the Protocol, you agree to the Litepaper Legal Disclaimer, Notice, Rules and Risks and Token Terms and Conditions as set out in the “Legal” section at https://docs.solstreet.finance/solstreet/. You also thereby acknowledge and warrant that you understand all risks associated with the Protocol, whether express or implied, anticipated or unanticipated. Should any term not be agreeable to you, or should you not wish to accept any such risk, you must immediately discontinue further use of, and engagement with, the Protocol.
  3. 3.
    The terms and conditions as set out herein, and in the Project Documents, will be updated from time to time. Neither the Project Team nor anyone else is obliged to notify you of such a change. In the event of a conflict between the latest version and the older version(s) of these terms and conditions and the Project Documents, the newer version shall prevail. In the event of a conflict between these terms and conditions and the Project Documents, these terms and conditions shall prevail.
  4. 4.
    Nothing in this notice, the Project Documents, or in any aspect of the Protocol, or in any statement, act or omission of the Project Team, may be read as financial, legal or tax advice. You should consult your own financial, legal and tax advisor(s).
  5. 5.
    Neither the -
    1. 1.
      advisors to the Protocol and Project Team;
    2. 2.
      service providers to the Protocol Project Team;
    3. 3.
      Managers;
    4. 4.
      Participants; and/or
    5. 5.
      STRT vendors; and/or
    6. 6.
      Wolfie vendors;
    can be held liable for any loss or damage of any kind whatsoever and from whatsoever cause arising, regardless of whether such loss or damage was direct or indirect, and regardless of whether such loss or damage arose intentionally or negligently.
  6. 6.
    The Project Team are acting as arm’s length third parties in relation to STRT distribution and the mint of Wolfies, and not as financial advisors or fiduciaries of any person with regard to the distribution of STRT or Wolfies. Nothing stated in the Project Documents, on the Protocol, or by the Project Team, shall be construed as a representation of the future performance of STRT or Wolfies. You acknowledge that STRT and Wolfies are not investment products. You acknowledge that STRT and Wolfies may have no value, and that no guarantee or representation was made to you about such value on the Protocol, in the Project Documents or by the Project Team. You warrant that you will not rely on the Project Documents, Protocol or a statement by the Project Team as having set an expectation of future performance.
  7. 7.
    None of the Project Team, the STRT vendor, the Wolfie Vendor, the STRT distributor, the Wolfie Vendor, the Project Team affiliates, or their advisors shall be responsible for the liquidity, transferability or value of STRT or Wolfie - or for a market for STRT or Wolfies.
  8. 8.
    You agree (and warrant your understanding) that the Project Documents -
    1. 1.
      are for informational purposes only and should not be construed as a prospectus, an offer document or offer of securities. The Project Documents should also not be construed as the solicitation of an investment, nor should it be construed as an offer for sale of anything of whatsoever nature;
    2. 2.
      are not accompanied by an assurance of comprehensiveness or accuracy;
    3. 3.
      make no warranty, undertaking or representation of the accuracy or comprehensiveness of the information contained in the Project Documents;
    4. 4.
      may set out information obtained from third parties, and this information has not been validated nor verified for accuracy or comprehensiveness; and
    5. 5.
      may contain information that has become outdated.
  9. 9.
    To the extent that the Project Documents are incomplete, inaccurate or outdated, there is no obligation on the Project Team or anyone else to change it.
  10. 10.
    Any representations made about the roadmap or anticipated development to be made in relation to the Protocol, STRT or Wolfies in future is purely conceptual, are not binding, may be subject to change or may not materialize. In addition, as the Protocol’s roadmap explicitly aims at decentralization, you should take account of the fact that distributed decision making may result in a change to the roadmap, and indeed a change in any aspect of the Protocol over which the Project Team has no control.
  11. 11.
    Any forward-looking statement made on the Protocol or in the Project Documents (including, but not limited to, statements or beliefs about future market conditions) should be treated with caution, and you should not place reliance on same as these are influenced by known and unknown risks, which could render actual results different from the forward-looking statements.
  12. 12.
    In interacting with the Protocol, you will, at your own instance and expense -
    1. 1.
      ascertain what laws and regulations you are required to comply with;
    2. 2.
      ascertain what legal and regulatory restrictions may be applicable to you;
    3. 3.
      and ensure your compliance with the aforesaid.
  13. 13.
    You are not allowed to engage with, or otherwise use, the Protocol or acquire STRT or Wolfies if you are subject to the jurisdiction of a country which -
    1. 1.
      could construe STRT or Wolfies as a security, financial service or investment product;
    2. 2.
      prohibits participation in token distributions;
    3. 3.
      prohibits trade in crypto currencies.
  14. 14.
    For the avoidance of doubt, but without limitation, persons subject to the jurisdiction of the following countries are not allowed to engage with, or otherwise use, the Protocol or acquire STRT or Wolfies (Prohibited Jurisdictions):

      Belarus
    2. 2.
      the People's Republic of China
    3. 3.
      the Central African Republic
    4. 4.
      the Democratic Republic of Congo
    5. 5.
      the Democratic People’s Republic of Korea
    6. 6.
      the Crimea region of Ukraine
    7. 7.
      Cuba
    8. 8.
      Iran
    9. 9.
      Libya
    10. 10.
      Somalia
    11. 11.
      Sudan
    12. 12.
      South Sudan
    13. 13.
      South Africa
    14. 14.
      Syria
    15. 15.
      the United States of America
    16. 16.
      Yemen
    17. 17.
      Zimbabwe

    In engaging with the Protocol, you indemnify the Project Team against any liability arising from your failure to adhere to any laws, regulations, as well as any other claim arising from your failure to adhere to the laws and regulations to which you are jurisdictionally subject.
  16. 16.
    In making the Protocol available, no application has been made to any regulatory authority for approval or exemption for the Protocol. No representation or guarantee has been made to you that the Protocol has been approved by any regulatory authority. No representation or guarantee has been made to you that any laws or regulations have been complied with.
  17. 17.
    SolStreet is currently in the initial development stages and there are a variety of unforeseeable risks. You acknowledge and agree that there are numerous risks associated with acquiring STRT or Wolfies, holding STRT or Wolfies, and using STRT or Wolfies for participation in SolStreet. In the worst scenario, this could lead to the loss of all or part of STRT or Wolfies held. If you decide to acquire STRT or Wolfies or participate in SolStreet, you expressly acknowledge, accept and assume the following risks:
    1. 1.
      Uncertain Regulations and Enforcement Actions: The regulatory status of SolStreet, STRT, Wolfies and distributed ledger technology is unclear or unsettled in many jurisdictions. The regulation of digital assets has become a primary target of regulation in all major countries in the world. It is impossible to predict how, when or whether regulatory agencies may apply existing regulations or create new regulations with respect to such technology and its applications, including STRT, Wolfies and/or SolStreet. Regulatory actions could negatively impact STRT, Wolfies and/or SolStreet in various ways. The Company, the Distributor (or their respective affiliates) may cease operations in a jurisdiction in the event that regulatory actions, or changes to law or regulation, make it illegal to operate in such jurisdiction, or commercially undesirable to obtain the necessary regulatory approval(s) to operate in such jurisdiction. After consulting with a wide range of legal advisors to mitigate the legal risks as much as possible, the Company and Distributor have worked with the specialist blockchain department at Jacque Law LLC and obtained a legal opinion on the token distribution, and will be conducting business in accordance with the prevailing market practice.
    2. 2.
      Inadequate disclosure of information: As at the date hereof, SolStreet is still under development and its design concepts, consensus mechanisms, algorithms, codes, and other technical details and parameters may be constantly and frequently updated and changed. Although this material contains the most current information relating to SolStreet, it is not absolutely complete and may still be adjusted and updated by the SolStreet team from time to time. The SolStreet team has neither the ability nor obligation to keep holders of STRT or Wolfies informed of every detail (including development progress and expected milestones) regarding the project to develop SolStreet, hence insufficient information disclosure is inevitable and reasonable.
    3. 3.
      Competitors: Various types of decentralised applications, games and networks are emerging at a rapid rate, and the industry is increasingly competitive. It is possible that alternative networks could be established that utilise the same or similar code and protocol underlying STRT, Wolfies and/or SolStreet and attempt to re-create similar facilities. SolStreet may be required to compete with these alternative networks, which could negatively impact STRT, Wolfies and/or SolStreet.
    4. 4.
      Loss of Talent: The development of SolStreet greatly depends on the continued co-operation of the existing technical team and expert consultants, who are highly knowledgeable and experienced in their respective sectors. The loss of any member may adversely affect SolStreet or its future development. Further, stability and cohesion within the team is critical to the overall development of SolStreet. There is the possibility that conflict within the team and/or departure of core personnel may occur, resulting in a negative influence on the project in the future.
    5. 5.
      Failure to develop: There is the risk that the development of SolStreet will not be executed or implemented as planned, for a variety of reasons, including without limitation the event of a decline in the prices of any digital asset, virtual currency, Wolfies or STRT, unforeseen technical difficulties, and shortage of development funds for activities.
    6. 6.
      Security weaknesses: Hackers or other malicious groups or organisations may attempt to interfere with STRT, Wolfies and/or SolStreet in a variety of ways, including, but not limited to, malware attacks, denial of service attacks, consensus-based attacks, Sybil attacks, smurfing and spoofing. Furthermore, there is a risk that a third party or a member of the Company, the Distributor or their respective affiliates may intentionally or unintentionally introduce weaknesses into the core infrastructure of STRT, Wolfies and/or SolStreet, which could negatively affect STRT, Wolfies and/or SolStreet. Further, the future of cryptography and security innovations are highly unpredictable and advances in cryptography, or technical advances (including without limitation development of quantum computing), could present unknown risks to STRT, Wolfies and/or SolStreet by rendering ineffective the cryptographic consensus mechanism that underpins that blockchain protocol.
    7. 7.
      Other risks: In addition, the potential risks briefly mentioned above are not exhaustive and there are other risks (as more particularly set out in the Terms and Conditions) associated with your participation in SolStreet, as well as acquisition of, holding and use of STRT and Wolfies, including those that the Company or the Distributor cannot anticipate. Such risks may further materialise as unanticipated variations or combinations of the aforementioned risks. You should conduct full due diligence on the Company, the Distributor, their respective affiliates, and the SolStreet team, as well as understand the overall framework, mission and vision for SolStreet prior to participating in the same and/or acquiring STRT and/or Wolfies.
    8. 8.
      Past vs future performance. The past performance of an asset, a pool or a Manager does not imply that they will perform the same in future.
    9. 9.
      Pool and Manager risk:
      1. 1.
        We do not provide financial, legal or tax advice with regard to such pools or Managers.
      2. 2.
        The pools and Managers themselves do not provide financial, legal or tax advice to you.
      3. 3.
        We do not assess or vet pools or Managers in any way, and anyone can become a Manager - whatever their background and level of skill.
      4. 4.
        We do not assess or vet the decisions made in the management of pools, nor the strategies employed by pool managers - it remains on you and/or your advisors to ensure that these decisions and strategies comply with your laws and standards, and you indemnify the Project Team from any liability arising from such decisions and strategies.
      5. 5.
        A Manager may intentionally, through negligence, or for any other reason, lose access to their Smart Contract Wallet and or simply lose interest in managing the pool. You accept that risk, and agree to not hold the Project Team liable in that event.
